Kin Money Terms and Conditions of Use

Please read the following terms of use carefully (hereinafter “Terms of Use”) of Kin Money, company whose registered office is located at 11932 - 80 street NW, Edmonton, AB T5B 2N7, Canada (hereinafter “Kin Money” or the “Company”).

Kin Money operates an application called Kin Money Wallet (hereinafter the "Application”). By deciding to use the Application, the user, that is to say the end user or the organization you represent or you work for, subject to restrictions (hereinafter the “User” or the “Users”) accepts without delay all the Terms of Use indicated below that govern the content and the running of the Application, including the “Privacy Policy” of Kin Money.

The terms “you” and “yours” are associated with the person who is using the Application (the User) and the terms “us” and “our” are associated with Kin Money. These Terms of Use have the effect of legally binding the User and Kin Money (hereinafter the “Parties”). The Parties are entitled to invoke this convention and to take all appropriate and necessary measures to enforce it.

The User accepts and recognizes that Kin Money has the right to modify, change or update the Terms of Use. The Company will notify the Users thirty (30) days prior to the coming into effect of the modification of the Terms of Use of the Application by email at the email address provided by the User. If the User refuses these changes and wishes to no longer use the Application, he will have no later than thirty (30) days following the entry into force of the amendments to send a notice to Kin Money.

The use of the Application by the User after such a modification means that the User consents to respect the Terms of Use as modified and to be legally bound by them. The Company will inform the Users of any changes to these Terms of Use thirty (30) days in advance.

Access and Use of the Application

The Application is available on computer, tablet, smartphone. If you operate the Application, it means that you have read, understood and accepted the Terms of Use.

The Service

The Application is accessible at all times. The Application may be temporarily unavailable in case of updates or technical problems. Kin Money is not responsible for any interruption of service or updating and will try to make the updates when the affluence of visits on the Application is at its lowest.

Kin Money does not guarantee that the Application, or any portion thereof, will function on any particular hardware or devices. In addition, the Application may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

Kin Money reserves the right to add, delete and modify all content, or parts of it, on the Application, except for the specific content of the User. Kin Money cannot be held responsible for mistakes, typographical errors or bugs. Each User created in the system owns the content on his account. Kin Money does not delete anything unless a User requests it.

The User agrees, non-restrictively, to not:

Your Application

The Application enables the User to transfer funds to bank cards, bank accounts or mobile application of third parties using his bank cards (hereinafter the “Funding source”), linked to the Application. The User can view the transactions carried out on his Application.

Regulatory information

The Application is provided by Kin Money. Kin Money is a private company, incorporated in Canada and an entity registered with Fintrac (MSB registration number M15163563). Although they are regulated by the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC) , the Application and the related payment services are not covered by the CIDC. No compensation exists to cover losses claimed in connection with the Application.

The User’s Application is not issued by a bank. No interest will accrue or be paid on balances held on the Application.

Eligibility

To apply for or use the Company’s Application you must:

Applying for the Application

To become a User, the User must apply for an Application by providing all of the information requested on the registration page of our website. The User must not apply for more than one Application.

The User must not provide any false, inaccurate, incomplete or misleading information. The User may not be able to use the Application or any part of its functionality until he has passed the Company’s identity and security validation and verification checks, and provided information requested in accordance with anti-money laundering regulations and our internal policies. You will have to enter the following information into the relevant fields of our application form: full name, date of birth, residential address, mobile phone number, and e-mail address. Your information will be automatically uploaded into our records, and your personal details will be automatically screened against the following sanctions lists:

The User must link his funding source to his account by following the instructions provided in the interface of the Application. He must not attempt to link a funding source that is not in his name and/or does not belong to him. Any transaction initiated by the User will require the User to provide: the funding source details, the transaction amount, and the recipient’s full name and bank card, account or application details. If a transaction amount or a cumulative amount of the transactions made by you exceeds a threshold established by us from time to time, you will have to provide us with some additional documents and information to our full satisfaction, as will be determined by us in our sole discretion. Such documents and information will include, without limitation, clear color photos or scan copies of your identification documents, the documents confirming your residence address, and such other documents as we may request at our sole discretion.

The Company will accept the following valid documents for the purposes of verification of your identity: current signed passport; a National ID card bearing your photograph; a Canadian driving license; a Provincial Health Insurance Card; any other document as specified on our Application and/or accepted by us; or such document as specified in Fintrac’s list.

The Company may ask some other document for the purpose of verification of your residence address such as utility bill (gas, electric, satellite, television, landline phone bill) issued within the last three months; local authority council tax bill for the current council tax year; bank, building society or credit card statement or passbook dated not older than three months, verified by the issuing organization; current Canadian Driving license (if not used as proof of ID); original mortgage statement from a recognized lender for the last full year; or council or housing association rent card or tenancy agreement for the current year; or such other document as specified on our Application And accepted by us.

The documents will have to be uploaded by you into our system using a relevant function in the interface of the Application, and they will be scanned by our specific software to verify that the documents satisfy the applicable standard format, and that the photo is not graphically altered. If the photos or scan copies of the documents do not pass the technical screening described above, the transaction will be refused, and you will be denied from using the Application.

The Company retains the right to request any additional documents and/or information regarding you, your transaction(s) and/or sender and/or recipient of funds of your transaction. We will decide in our sole discretion whether the documents and/or information provided are sufficient to allow you to use the Application or any part thereof.

The Company will request an update or confirmation of your information and documents, kept in our files, as frequently as needed for us to follow our internal policies and to comply with the applicable laws and regulations.

The Company may check all personal and identity verification information you give us with credit reference or fraud prevention agencies and other organizations. These agencies may keep a record of your information and the searches made. However, we do not perform a credit check and any search is for identity purposes only and will be recorded as such.

We shall keep records of the information and documents we received from you in accordance with all applicable legal and regulatory requirements.

The User’s Application will be denominated in American dollars (USD).

The Company will review your account as soon as possible. It remains in our sole discretion whether we issue an account to you. If your account is approved, we will advise you as soon as possible.

Using the Application

Application’s Functionality

The User may use his Application only for personal purposes. The Application cannot be used for business related activities unless specifically authorized by the Company. The User may request the business use authorization by sending a message to our User support Service.

Upon successful registration of his Application, the User will be able to, subject to the payment of any applicable Fees and compliance with these Terms of Use, transfer funds to bank cards and/or bank accounts and/or digital wallets of third parties using his Application.

In some jurisdictions funds transferred by you may be received in cash. We determine the list of such jurisdictions and the requirements applicable to such transfers in our sole discretion and may change them any time without any notification given to you.

The User may not use his Application for payment for any of the following products and/or Services:

Transaction Limits

The User’s Application may be subject to limits associated with loads and transactions.

Permission

When the User is using his Application, he permits us to receive a transfer of funds on his behalf and deduct any applicable Fees from those funds for our own account. He should check all the Fees which apply to his use of the Application. These are set out in the Fees and Limits Table on our Application.

Transactions

The Application enables the User to undertake transactions online. We impose limits on these transactions as set out in the Fees and Limits Table. The User can access information on any transaction he has made by accessing his account through the Application. This will provide him with detailed information including the Fees he has paid in relation to any transaction. If it’s required, we can also confirm the maximum time it will take for any transaction he has initiated to be executed.

The Company will deduct the value of your transactions and any applicable Fees from your funding source at the time of the transaction. If you make a transaction, any applicable Fees will be added to the amount of the transaction so that the total sum of your transaction amount plus the applicable Fees will be deducted from your funding source.

If you are attempting a transaction or redeeming funds in excess of the available balance on your funding source at the time the request is made plus any applicable Fees, then your request will not be processed.

In the unlikely event, for any reason whatsoever, a transaction is completed when there are insufficient funds on your funding source ( hereinafter a "Shortfall"), the Shortfall shall be reimbursed by the User unless it is due to an error on the part of the Merchant. In these circumstances, we may seek the Shortfall from the Merchant.

Where the Shortfall must be reimbursed by the User, the User will be required to Load funds immediately to reimburse the negative balance. Until the Company is reimbursed of the Shortfall amount, we may suspend the User’s Application. If we believe the Shortfall has been created intentionally this will be treated as potential Fraud.

Transaction History

The User may check his transaction history by logging into his account on the Application. We will update the User’s transaction history near real-time.

The transaction history will show:

Expiry, Cancellation, Closure and Suspension

The User’s Application does not expire and will remain valid until canceled by either the User or the Company. The User’s Application will be canceled automatically if it stays inactive for eighteen (18) consecutive months. The User may close his Application at any time by giving a notice to the Company in writing via email or mail or via the Application.

When the Application is canceled, we will immediately block the Application so it cannot be used. The User will remain liable for all obligations relating to his Application even after his Application has been closed. Closing the Application does not mean that we delete the personal data that we hold on the User and we will continue to store such data, including the history of your transactions for a minimum period of seven (7) years as required by law.

If the User closes his Application he will no longer be able to use any of the functionality of the Application.

We may terminate these Terms of Use and close the User’s Application by giving the User a two ( 2 ) months' notice by email for any reason.

We may close the User’s Application and terminate these Terms of Use immediately upon notice to him given via email or over the phone:

The Company may at any time suspend, restrict or cancel the Application’s functionality and terminate these Terms of Use, or refuse to reactivate the User’s account if:

We will tell the User as soon as we can before we do this if possible or otherwise immediately afterwards, giving our reasons, unless letting him know would compromise reasonable security measures or be otherwise unlawful. We will reactivate the User’s account or replace it with a new one without undue delay after the reasons we suspended, restricted or canceled its use cease to exist. We may also cancel these Terms of Use or suspend the User’s account immediately if we believe it is deliberately being used by the User to commit fraud or for other illegal purposes. If we do this, we will tell the User as soon as we are permitted to do so.

The Company may refuse to process a transaction:

If we refuse to process a transaction because we think it is suspicious or potentially illegal, where we are permitted to do so by applicable law we will contact you by phone. If we refuse to process a transaction for any other reason, we will inform you by email without undue delay and in any event by the end of the next Business Day, giving our reasons and explaining how you can correct any information we hold that led to us refusing to process the transaction, unless informing you would compromise security measures or be unlawful.

You are responsible for the correctness of the transaction information provided by you to us, including without limitation the details of the funding source, name and other information of the recipient, recipient’s card or bank account, transaction amount, transaction currency, and any other information provided to us in the course of completing your transaction (“Transaction Information”). We cannot predict or guarantee the results of any transaction attempted or completed based on incorrect Transaction Information. We will not be liable to you for non-performance or improper performance of our obligations under this Agreement if you provide us with incorrect and/or insufficient Transaction Information.

Fees

The Fees applicable to the User’s Application (hereinafter the “Fees”) are set out in the Fees and Limits List on our Application and will be deducted from the User’s Funding source.

If the User makes a transaction that requires one or more currency conversions (for example because his Application or his funding source is denominated in a currency that is different from the currency in which the recipient’s card is nominated), we apply the foreign exchange rate set out in our system on the day of the transaction, that will be displayed in the interface and that the User will need to agree to before completing the transaction.

The exchange rate applicable to each transaction currency conversion is determined by the Company and depends on the time at which a transaction is executed.

The User’s bank may apply their own fees to the User’s use of the Application and/or completing transaction(s). The User should check those fees prior to using the Application and/or completing transaction(s). The Company will not be responsible for any fees imposed by the User’s bank or any other bank in connection with the User’s use of the Application and/or completion of transaction(s).

Unlawful Activity

The User is prohibited from using his Application for the purposes of legalization of the illegal proceeds, illegal activities, illegal trade, and any other transactions made in violation of the applicable laws. The User will use all reasonable efforts to prevent using his Application for illegal trade, illegal financial transactions, or legalization of illegal proceeds.

Promotion Programs

The Company may develop and launch a promotional program (hereinafter the “Program”) that will provide additional benefits to the User and our other Users. The terms and conditions of each Program will be developed by us and notified to the User separately. The User will be able to benefit from the Program only subject to his full and unconditional acceptance of such Program’s terms and conditions. As part of the Program, we may provide the User with promotional code(-s) and the User will be able to use such codes in accordance with the terms and conditions of the relevant Program.

Rewards Program

The User has a right to participate in the Kin Money Rewards Program on the terms and conditions set out in this Section. You will receive a promotional code (hereinafter the “Code”) in the interface of your Application that you will be able to pass to another person who is interested in using Kin Money Services and becoming the Company’s User or a User of one of our Partners (as defined below). The User can pass the Code to an unlimited number of persons.

The Company will open and maintain a rewards account for the User that will store the information about his rewards balance. Rewards will be denominated and accrued on the User’s rewards account in a funding currency that will be determined by us in our sole discretion depending on the User’s country of residence, his funding source, and other factors (hereinafter the “Funding Currency”). A reward is not e-money and simply represents a piece of information about potential benefits that the User may be entitled to subject always to these Terms of Use. The rewards cannot be used as a means of payment until the User cash out his rewards in accordance with clause below. The User’s rewards represent a certain discount for our Services that we are willing to grant to him for promoting our Services to third parties. The User’s rewards balance doesn’t have an expiration date and will remain available for as long as he remains our User.

If our new customer or a new customer of Partner (hereinafter the “New Customer”) enters the Code in course of completing the first transaction, Kin Money fee for such transaction will be waived automatically.

The User will receive rewards for twelve (12) remittances made by the New Customer with a fee paid to Kin Money starting from the second remittance within the first twelve (12) months after the New Customer’s registration with Kin Money in the amount of One British Pound (£1.00), One Euro and 50 cents (€1.50), Two U.S. Dollars ($2.00), Seven Polish Zloty (7.00 PLN), Three Canadian Dollars (3.00 $ CAD), Thirty-nine Czech Krona (39.00 CZK), Nine Arab Emirates Dirham (9.00 AED), Nine Danish Krone (9.00 DKK), Nineteen Norwegian Krone (19.00 NOK), or Nineteen Swedish Krona (19.00 SEK) per each funds transfer depending on your Application’s country of registration that is defined by the area code of your cell phone linked to your Application. For the avoidance of doubt, only fund transfers made to other individuals (not merchants or entities) are qualified for rewards.

The User will be entitled to cash out his rewards in his Funding Currency on the following terms and conditions:

The User will not be able to accumulate rewards for more than the total amount specified in the previous Clause (iii) of this Section per calendar year unless you have properly passed our User due diligence procedures, including without limitations those mentioned before in which case you will be entitled to accumulate up to five hundred British Pounds (£500.00), Five Hundred Sixty-Five Euro (€565.00), or five hundred ninety-nine U.S. Dollars ($599.00 US) or eight hundred and fifty Canadian Dollars ($850.00 CAD) or their equivalent in the other currency as decided by us on your rewards account per calendar year.

The User is solely responsible for his tax liability which may arise from his participation in the Kin Money Rewards Program. The Company is not the User’s tax agent and we will not deduct or pay any taxes due to be paid by the User from the rewards amount received by him in any tax reporting period.

Security, Unauthorized and Incorrectly Executed Transactions

Security

If the User has any indication or suspicion that his Application, password, or other security details are lost, stolen, misappropriated, used without authorization or otherwise compromised, the User should change his password and contact us immediately. Any delay in notifying us may result in the User being liable for any losses.

Identity

It is the User’s responsibility to keep his identification, security information, password, security questions and answers and other information specific to his Application confidential and never disclose them to anyone. Should another person gain access to the User’s Application by passing all identification and security validation and verification checks, we may be entitled to treat any transaction or other transaction conducted by that person as valid and authorized by the User and may not be responsible for any loss or damage he may incur as a result.

If the User thinks a transaction which was not authorized by him has been processed or has been incorrectly executed, he must contact us without undue delay on becoming aware of it and at the very latest within thirteen (13) months of the debit date. The User may be required to complete and return a declaration form to us promptly. The Company will refund any unauthorized transaction without undue delay and restore the User’s account to the state it would have been in if the unauthorized transaction had not taken place immediately unless we have any reason to believe that the incident may have been caused by the User’s breach of these Terms of Use, the User’s gross negligence or if we have reasonable grounds to suspect that it has been caused by the User’s fraudulent activity.

When the User’s notifies the Company of an incorrectly executed transaction, we will investigate the circumstances. If the User asks us to, we will make immediate efforts to trace the transaction and will notify him of the outcome. We are liable for the correct execution of the transaction and for any charges and interest that the User has to pay as a consequence of the non-execution of the transaction unless we can prove that the transaction was received by the intended recipient. If our investigation shows that the amount of the transaction was not received by the intended recipient, we will refund the difference to the User without undue delay and restore his account to the state in which it would have been had the defective payment transaction not taken place. We are not liable to the User if he incorrectly identifies the intended recipient, including any Merchant, under a transaction, but in such a case we will make reasonable efforts to recover the funds involved.

Investigations

If our investigations show that a transaction reported by the User as unauthorized or incorrectly executed was in fact authorized by him, or the User have acted fraudulently or with gross negligence (for example, by failing to keep his security information secure), we may reverse any refund made and the User may be liable for any and all loss we suffer from his use of the Application.

Privacy

In applying for the Application and using it, the User agrees that we can use his personal information in accordance with our Privacy Policy. Our Privacy Policy is on our Application and includes details of the personal information that we collect, how it will be used, and who we share it with.

By using the Application, the User also consents to the use of his personal information as required to execute the payment in accordance with regulatory requirements. Depending on where the User uses his bank card, this may include a processing of his information outside of Canada.

Liability

Any liability on our part in connection with these Terms of Use shall be subject to the exclusions and limitations set out in this section.

Unless otherwise required by law or as set out in these Terms of Use, the Company will not be liable to the User in respect of any losses he or any third party may suffer in connection with the Application as a result of our actions or inactions which were not a foreseeable direct consequence of our actions or inactions, so we shall not be liable for indirect consequences.

The Company will not be liable for the goods or services that the User purchases with his Application. From time to time, the User’s ability to use his Application may be interrupted, e.g. when we carry out maintenance. f this happens, you may be unable to:

Where sums are incorrectly deducted from the User’s Application, our liability shall be limited to payment to the User of an equivalent amount. In all other circumstances the Company’s liability will be limited to repayment of the amount of the available balance on the User’s Application at the time the liability arose.

Complaints

If you are unhappy in any way with your Application or the way it is managed or have any other complaints in connection with it, please tell the Company first by contacting us so that we can investigate the circumstances for you.

We will endeavor to deal with your complaint quickly and fairly and will notify you of the outcome of our investigation. If you would like a copy of our internal complaint handling procedures, then please request a copy from us.

Intellectual Property

All intellectual property rights (trademarks, copyrights, etc.) (hereinafter the “Intellectual Property” related to the Application are the exclusive property of Kin Money. The User may not copy or use the material, structure, menu, appearance or characters that appear on the Application without the express consent of Kin Money .

Certain names, words, titles, expressions, logos, icons, graphs, drawings, domain names or other content displayed on the Application may, among other things, be trademarks or commercial designations, whether registered or unregistered (hereinafter the “Trademarks”). These Trademarks are protected by Canadian and foreign laws applicable to trademarks and are, as the case may be, the exclusive property of Kin Money .

Without limiting their coverage, the Intellectual Property elements belonging to Kin Money include, non-exhaustively, the following elements:

Any information provided on the Application belongs to Kin Money and is protected by the applicable laws. Except when provided otherwise, the information cannot be copied, displayed, distributed, downloaded, used with a license, modified, published, reproduced, reused, sold, transmitted or used for derivative works means, public or commercial, without Kin Money ’s express and written authorization. The information is protected under Canada’s copyright and trademark legislation as well as under the copyright and trademark legislation of the countries hosting the Application.

The User can use the information on the Application for a commercial use, provided that he indicates on the copies the mentions regarding copyrights as well as the notices and attributions of the respective trademarks. The Terms of Use allow the User to have restricted authorization regarding its consultation, the display on his computer, the download and printing of text or pictures presented on the Application. This authorization is strictly for commercial, personal and educational uses, provided that the Application's content is not modified. This authorization belongs only to the User and cannot be attributed or transferred to anyone else neither can it be subject to a sublicense. The pictures and the text contained on the Application that are downloaded, copied, saved or printed are still subject to the Terms of Use. The User himself needs to assure itself that all the notices regarding copyrights and trademarks are still on them. The Application’s content can be modified at all times without warning. Nothing contained herein shall be interpreted as conferring any license or any kind of right to the User under copyright or trademarks laws. Unauthorized download, broadcast, copy or modification of Intellectual Property or data contained in the Application can breach laws regarding trademarks or copyrights. Such breach can expose the User to a lawsuit.

External Links

It is possible that by using a link, the User exits the Application to access external content (hereinafter the "External Links'). In addition to its own content, Kin Money provides on its Application links to other websites only for user-friendly and informative purposes. The Company has no control over the content of those websites and is not responsible for their accuracy, precision, comprehensiveness, authenticity, actuality or adequacy. Kin Money is also not responsible for any direct or indirect damage or consequence regarding content in these External Links. Kin Money has no influence on the content to which the External Links refer to and is not responsible for it. Kin Money does not require the transmission of information, does not select nor modify the information transmitted and does not select the recipients of the information transmitted. Furthermore, under links’ creation and consultation method in effect, Kin Money does not subject the External Links to any intermediary short-term automatic safeguard. Consequently, the owners of the websites accessible from the External Links remain responsible for their content.

Furthermore, Kin Money does not guarantee the absence of copyright, trademark or any other rights violations by those websites or their content. Kin Money does not guarantee the absence of virus or any other harmful composites on those websites or on their content. Kin Money also does not guarantee the accuracy of documents available on the Internet.

Disclaimer, Exclusion of Warranty and Indemnity

The Company does not guarantee the accuracy, completeness, quality, suitability or content of the information on its Application. This information is provided "as is" without warranty or condition of any kind, unless otherwise stated in jurisdictions that do not allow the exclusion of implied warranties.

The Company is not responsible for the content posted on the Application by the User and for any damage that may result. Each User is responsible for the content it exchanges on the Application and may not use the Application for purposes contrary to the laws applicable in Canada.

Except where the Consumer Protection Act is applicable, the Company shall not be liable for any direct, indirect, special, incidental or consequential damages, or any other damages whatsoever, including loss of income, profits or anticipated economic benefits from the use or inability to use the Application, the information, documents and software contained therein, with their content, even if we have been warned of the possibility of such damages or even if such damages may be reasonably foreseen.

As a User, you will indemnify the Company, and, as the case may be, its directors and officers, shareholders, partners, employees, agents and other stakeholders of Kin Money, and release them from all liability for any and all claims, liabilities, losses and fees (including legal fees) attributable to the use of the Application and/or the violation of these Terms of Use, whether this infringement is on your behalf or any other third-party user of your account.

You may not use or export the information nor any copy or adaptation of the information in contravention of applicable laws or regulations.

Applicable Laws and Jurisdiction

The Application and its content are managed by Kin Money from their offices located in Province of Alberta in Canada. The Application, its content, the Terms of Use and your use of the Application are regulated by the applicable legislation of Canada, without giving effect to any principle regarding conflicts of laws.

Except for the residents of the Province of Quebec, the User accepts that any litigation regarding the Application will be resolved by an arbitration rather than in court. The arbitral court will be chosen by Kin Money.

If the litigation is raised by a resident of the Province of Quebec, the dispute will be settled by the courts of the Province of Quebec directly. In addition, any court decision saying that any provision of these Terms of Use is void or unenforceable has no effect on the other clauses.

If you have any disputes about purchases made using your Application, you should settle these with the Merchant you bought the goods or Services from. We are not responsible for the quality, safety, legality or any other aspect of any goods or Services purchased with your Application. Remember that once you have used your Application to make a purchase we cannot stop that transaction.

Amendments to These Terms

Kin Money occasionally updates these Terms of Use. The User accepts and recognizes that Kin Money has the right to modify, change or update the Terms of Use. The Company will notify the Users thirty (30) days prior to the coming into effect of the modification of the Terms of Use of the Application by email at the email address provided by the User. If the User refuses these changes and wishes to no longer use the Application, he will have no later than thirty (30) days following the entry into force of the amendments to send a notice to Kin Money.

The use of the Application by the User after such a modification means that the User consents to respect the Terms of Use as modified and to be legally bound by them. The Company will inform the Users of any changes to these Terms of Use thirty (30) days in advance.

Kin Money will treat the notice from the User as notification that he wishes to terminate this agreement. In such circumstances, Kin Money will close the User’s account as soon as practicable. If the User changes his mind within thirty (30) days after the deletion of his Application, Kin Money will restore the User’s information.

Assignment

These Terms of Use are personal to you and you may not assign or otherwise transfer your rights and obligations under them. We may assign or transfer the benefit and burden of these Terms of Use to another entity at any time, on giving you a two (2) months' prior notice of this. If we do this, your rights will not be affected.

French and English Language

This Agreement is concluded in English. All communications with you will be in English. If a problem of definition or interpretation arises between the English and French versions of this policy, the English version shall prevail.

Conditions d’utilisation de Kin Money

Veuillez lire attentivement les conditions d’utilisation (ci-après « Conditions d’Utilisation ») ci-dessous de Kin Money, société dont le siège social est situé au 11932 - 80 Street NW dans la ville d’Edmonton (T5B 2N7), dans la province d’Alberta, au Canada (ci-après « Kin Money » ou la « Société »).

Kin Money exploite une application appelée Kin Money Wallet (ci-après l’« Application »). En décidant d’utiliser l’Application, l’utilisateur , entendu comme l’utilisateur final ou l’organisation que vous représentez ou pour laquelle vous travaillez (ci-après l’« Utilisateur » ou les « Utilisateurs ») est sujet aux restrictions et accepte toutes les Conditions d’Utilisation indiquées ci-dessous qui régissent le contenu et l’utilisation de l’Application, ainsi que la « Politique de protection des renseignements personnels » de Kin Money. Les termes « vous » et « votre/vos » sont associés à la personne qui utilise l'Application (l'Utilisateur) et les termes « nous » et « notre/nos » sont associés à Kin Money.

Ces Conditions d'Utilisation ont pour effet de lier juridiquement l’Utilisateur et Kin Money (ci-après les « Parties »). Les Parties sont en droit d’invoquer les présentes Conditions d’Utilisation et de prendre toutes les mesures utiles et nécessaires pour les faire respecter.

L'Utilisateur accepte et reconnaît que Kin Money a le droit de modifier, changer ou mettre à jour les Conditions d'Utilisation. Kin Money notifie les Utilisateurs trente (30) jours avant l'entrée en vigueur de la modification des Conditions d’Utilisation de l’Application par courriel à l’adresse indiquée par l’Utilisateur. Si ce dernier refuse ces modifications et souhaite ne plus utiliser l’Application, il aura, au plus tard, trente (30) jours après l'entrée en vigueur des modifications pour envoyer une notification à Kin Money.

L’Utilisation de l’Application par l’Utilisateur après des modifications signifie que l’Utilisateur consent à respecter et à être juridiquement lié aux Conditions d’Utilisation modifiées. La Société informera les Utilisateurs de tout changement de ces Conditions d’Utilisation trente (30) jours en avance.

Accès et Utilisation de l’Application

L'Application est disponible sur ordinateur, tablette, smartphone. Si vous exploitez l'Application, cela signifie que vous avez lu, compris et accepté les Conditions d'Utilisation.

Le Service

L'application est accessible en tout temps. Il peut arriver que l'application soit temporairement indisponible en cas de mises à jour ou de problèmes techniques. Kin Money n’est pas responsable en cas d’interruption de service ou de mise à jour. La Société essaiera d’effectuer les mises à jour lorsque l’affluence des visites sur l’Application est au plus bas. Kin Money ne garantit pas que l’Application, ou toute partie de celle-ci, fonctionnera sur du matériel informatique ou des périphériques particuliers. Par ailleurs, l’Application peut faire l’objet de dysfonctionnements et de retards inhérents à l’utilisation d’Internet et des communications électroniques.

Kin Money se réserve le droit d’ajouter, de supprimer et de modifier tout le contenu, ou une partie de celui-ci, sur l’Application, à l’exception du contenu propre à l’Utilisateur. Kin Money ne peut pas être tenue responsable des fautes, des erreurs typographiques et des bogues. Chaque Utilisateur créé dans le système est propriétaire du contenu de son compte. Kin Money ne supprime rien à moins qu’un Utilisateur n’en fasse la demande.

Chaque Utilisateur de l’Application s’engage, non limitativement, à ne pas :

Votre Application

L'Application permet à l'Utilisateur de transférer des fonds sur des cartes bancaires, comptes en banque ou application mobile appartenant à des tiers à l'aide de ses cartes bancaires (ci-après la «Source de financement») liées à l’Application. L'Utilisateur peut consulter les transactions effectuées sur son Application.

Informations réglementaires

L'Application est fournie par Kin Money. Kin Money est une société privée incorporée au Canada et inscrite auprès de Fintrac (numéro d’enregistrement MSB : M15163563). Bien qu'ils soient réglementés par le Centre d'analyse des opérations et déclarations financières du Canada (Fintrac) (https://www.fintrac-canafe.gc.ca/intro-fra), l’Application et les services de paiement connexes ne sont pas couverts par le CIDC (https://www.cdic.ca/yourcoverage/ protecting-your-deposit/). Aucune compensation n'existe pour couvrir les pertes réclamées dans le cadre de l’Application. L’Application de l'Utilisateur n'est pas fournie par une banque. Aucun intérêt ne sera accumulé ou payé sur les soldes détenus sur l’Application.

Pour demander ou utiliser l’Application de la Société, vous devez:

Demande d’adhésion pour l’Application

Pour devenir un Utilisateur, l'Utilisateur doit demander une Application en fournissant toutes les informations demandées sur la page d'inscription du site internet de la Société. L'Utilisateur ne doit pas demander plus d’une Application. L'Utilisateur ne doit pas fournir d'informations fausses, inexactes, incomplètes ou trompeuses.

L'Utilisateur peut ne pas être en mesure d'utiliser l’Application ou une partie de ses fonctionnalités tant qu'il n'a pas passé les contrôles de validation et de vérification d'identité et de sécurité de la Société, et fourni les informations demandées conformément aux réglementations antiblanchiment et à nos politiques internes. Vous devrez saisir les informations suivantes dans les champs pertinents de notre formulaire de candidature : nom complet, date de naissance, adresse de domicile, numéro de téléphone portable et adresse e-mail. Vos informations seront automatiquement téléchargées dans nos dossiers et vos données personnelles seront automatiquement filtrées par rapport aux listes de sanctions suivantes :

L'Utilisateur doit lier sa source de financement à son compte en suivant les instructions fournies dans l'interface de l’Application. Il ne doit pas tenter de lier une source de financement qui n'est pas à son nom et / ou ne lui appartient pas.

Toute transaction initiée par l'Utilisateur nécessitera que ce dernier fournisse les informations suivantes : les détails de la source de financement, le montant de la transaction et les coordonnées bancaires complètes du bénéficiaire (nom et numéro de compte de la carte bancaire). Si un montant de transaction ou un montant cumulatif des transactions effectuées par vous dépasse un seuil que nous établissons de temps à autre, vous devrez nous fournir certains documents et informations supplémentaires à notre entière satisfaction, tel que déterminé par nous à notre seule discrétion. Ces documents et informations comprendront, sans s'y limiter, des photos couleur claires ou des copies numérisées de vos documents d'identité, des documents confirmant votre adresse de résidence et d'autres documents que nous pourrions demander à notre seule discrétion.

La Société acceptera les documents valides suivants aux fins de vérification de votre identité : passeport signé en cours de validité ; une carte d'identité nationale avec photo ; un permis de conduire canadien ; une carte d'assurance maladie provinciale ; tout autre document spécifié sur notre Application et / ou accepté par nous ; ou tout document figurant sur la liste de Fintrac. La Société peut demander un autre document pour la vérification de votre adresse de résidence tel qu'une facture de service public (gaz, électricité, télévision par satellite, facture de téléphone fixe) émise au cours des trois derniers mois ; un relevé bancaire, une société de crédit ou un livret datant de moins de trois mois, vérifié par l'organisation émettrice ; un permis de conduire canadien en cours de validité (si non utilisé comme preuve d'identité) ; un relevé hypothécaire original d'un prêteur reconnu pour la dernière année complète ; ou un contrat de location ou de logement social pour l'année en cours ; ou tout autre document spécifié sur notre Application et accepté par nous.

Les documents devront être téléchargés par vous dans notre système à l'aide d'une fonction pertinente de l'interface de l’Application et ils seront analysés par notre logiciel spécifique pour vérifier qu'ils répondent au format standard applicable et que la photo n'est pas modifiée graphiquement. Si les photos ou les copies numérisées des documents ne réussissent pas le contrôle technique décrit ci-dessus, la transaction sera refusée et vous serez interdit d'utiliser l’Application.

La Société se réserve le droit de demander des documents et/ou des informations supplémentaires vous concernant, vos transaction(s) et/ou l'expéditeur et/ou le bénéficiaire des fonds de votre transaction. Nous déciderons à notre seule discrétion si les documents et/ou les informations fournis sont suffisants pour vous permettre d'utiliser l’Application ou toute partie de celle-ci. La Société demandera une mise à jour ou une confirmation de vos informations et documents, conservés dans nos dossiers, aussi souvent que nécessaire pour nous permettre de respecter nos politiques internes et les lois et réglementations applicables. La Société peut vérifier toutes les informations personnelles et de vérification d'identité que vous nous fournissez auprès d'agences de référence de crédit ou de prévention de la fraude et d'autres organisations. Ces agences peuvent conserver un enregistrement de vos informations et des recherches effectuées. Cependant, nous ne procédons pas à une vérification de votre solvabilité et toute recherche est uniquement à des fins d'identité et sera enregistrée comme telle. Nous conserverons les informations et documents que nous avons reçus de vous conformément à toutes les exigences légales et réglementaires applicables. L’Application de l'Utilisateur sera libellée en dollars américains (USD). La Société examinera votre compte dès que possible. Il reste à notre seule discrétion de vous attribuer ou non un compte. Si votre compte est approuvé, nous vous en informerons dans les plus brefs délais.

Utilisation de l’Application

Fonctionnalité de l’Application

L'Utilisateur ne peut utiliser son Application qu'à des fins personnelles. L’Application ne peut pas être utilisée pour des activités commerciales sauf autorisation expresse de la Société. L'Utilisateur peut demander l'autorisation d'utilisation commerciale en envoyant un message à notre service d'assistance aux Utilisateurs.

Après une inscription réussie de son Application, l'Utilisateur pourra, sous réserve du paiement de tous les frais applicables et du respect des présentes Conditions d'Utilisation, transférer des fonds vers des cartes bancaires et/ou des comptes bancaires et/ou des portefeuilles numériques de tiers à l'aide de son Application. Dans certaines juridictions, les fonds transférés par vous peuvent être reçus en espèces. Nous déterminons la liste de ces juridictions et les exigences applicables à ces transferts à notre seule discrétion et pouvons les modifier à tout moment sans vous en aviser. L'Utilisateur ne peut pas utiliser son Application pour payer les produits et/ou services suivants :

Limites de transaction

L'Application de l'Utilisateur peut être soumise à des limites associées aux chargements et aux transactions.

Permission

Lorsque l'Utilisateur utilise son Application, il nous permet de recevoir un transfert de fonds en son nom et de déduire tous les frais applicables de ces fonds pour notre propre compte. Il doit vérifier tous les frais applicables à l'utilisation de son Application. Ces frais sont indiqués dans le tableau des frais et limites de notre Application.

Transactions

L'Application permet à l'Utilisateur d'effectuer des transactions en ligne. Nous imposons des limites à ces transactions, comme indiqué dans le tableau des frais et limites. L'Utilisateur peut accéder aux informations sur toute transaction qu'il a effectuée en accédant à son compte via l’Application. Cela lui fournira des informations détaillées, y compris les frais qu'il a payés pour toute transaction. Si nécessaire, nous pouvons également confirmer le délai maximum nécessaire à l'exécution de toute transaction qu'il a initiée.

La Société déduira la valeur de vos transactions et les frais applicables de votre source de financement au moment de la transaction. Si vous effectuez une transaction, les frais applicables seront ajoutés au montant de la transaction de sorte que la somme totale de votre montant de transaction plus les frais applicables sera déduite de votre source de financement. Si vous tentez une transaction ou rachetez des fonds supérieurs au solde disponible sur votre source de financement au moment de la demande, plus tous les frais applicables, votre demande ne sera pas traitée. Dans le cas peu probable, pour quelque raison que ce soit, une transaction est complétée alors que les fonds sur votre source de financement sont insuffisants (ci-après un « Déficit »), le Déficit sera remboursé par l'Utilisateur, sauf s'il est dû à une erreur de la part du commerçant. Dans ces circonstances, nous pouvons réclamer le Déficit au commerçant. Lorsque le Déficit doit être remboursé par l'Utilisateur, ce dernier sera tenu de charger des fonds immédiatement pour rembourser le solde négatif. Jusqu'à ce que la Société soit remboursée du montant du Déficit, nous pouvons suspendre l’Application de l'Utilisateur. Si nous pensons que le Déficit a été intentionnellement créé, cela sera traité comme une fraude potentielle.

Historique des transactions

L'Utilisateur peut consulter son historique de transactions en se connectant à son compte sur l’Application. Nous mettrons à jour l'historique des transactions de l'Utilisateur en temps quasi réel.

L'historique des transactions affichera :

Expiration, Annulation, Fermeture et Suspension

L’Application de l'Utilisateur n'expire pas et restera valable jusqu'à ce qu'elle soit annulée par l'Utilisateur ou la Société. L’Application de l'Utilisateur sera automatiquement annulée si elle reste inactive pendant dix-huit (18) mois consécutifs. L'Utilisateur peut fermer son Application à tout moment en envoyant un avis écrit à la Société par courriel, par la poste ou via l’Application. Lorsque l’Application est annulée, nous la bloquons immédiatement afin qu'elle ne puisse plus être utilisée. L'Utilisateur reste responsable de toutes les obligations relatives à son Application même après sa fermeture. La fermeture de l’Application ne signifie pas que nous supprimons les données personnelles que nous détenons sur l'Utilisateur et nous continuerons à stocker ces données, y compris l'historique de vos transactions pendant une période minimale de sept (7) ans comme l'exige la loi.

Si l'Utilisateur ferme son Application, il ne pourra plus utiliser aucune des fonctionnalités de l’Application.

Nous pouvons résilier ces Conditions d'Utilisation et fermer l’Application de l'Utilisateur en lui donnant un préavis de deux (2) mois par courriel pour quelque raison que ce soit.

Nous pouvons fermer l’Application de l'Utilisateur et résilier les présentes Conditions d'Utilisation immédiatement par un avis donné par courriel ou par téléphone :
